Force Majeure: A Hypothetical Case

The concept of “force majeure” has acquired a certain relevance in these times of “COVID”, forcing us to analyze, in relation to the effectiveness and enforceability of obligations, their application to the different existing contractual relationships; in order to determine whether this fact justifies the debtor’s irresponsibility in fulfilling the obligation.

Everyone seems to agree that the application of the figure of “force majeure” as an adequate cause for the non-fulfilment of obligations must be compared with each contract individually, as each one has different characteristics; distinctions that may be related to the persons, the object of the obligation, the conditions and the term established in each one. Likewise, it is necessary to evaluate whether there is in the different contracts any clause that contains the exclusion of force majeure or fortuitous event, as a justification for the non-fulfilment of the obligation.

Making an effort in abstractions is difficult, one must try to be as pragmatic as possible, and make the specific contrast with each contract, in order to anticipate positions regarding each one.

Let us take an example, employment contracts that have been suspended. These contracts, I understand, were suspended using as an appropriate cause the “force majeure”, a fact caused by a government provision (Executive Decree No. 500 of March 19, 2020) that ordered the closure of some companies. In these cases, for the employer, the order of the authority constitutes an event of force majeure, as provided for in article 34-D of the Civil Code, being an irresistible event, the provisions of ordinal 8 article 199 of the Labor Code apply, which is the suspension of employment contracts. For the purposes of this pamphlet, we assume that compliance has been given to the provisions of articles 198 to 208 of the Labor Code for the suspension.

Well, in the labor field, the objective fact of “force majeure” applies to both the employer and the employee; the worker is exempt from providing the agreed service and the employer is exempt from paying the wages for those periods, as provided for in article 208 of the Labor Code.

Now, what happens to the employer, which is the commercial establishment and company (legal or natural person) whose closure was ordered, with respect to its civil and commercial obligations? Does the same force majeure event, which served to suspend employment contracts, serve to justify its failure to comply with civil and commercial obligations? And for the worker, does the “force majeure” that managed to suspend his employment contract serve to exempt him from paying his commercial and civil obligations?

In the case of labor matters, force majeure operates as an objective fact applicable to all cases, always subject to the regulations of the Labor Code.

In the case of civil and commercial obligations, we are in the subjective realm, since the fact of force majeure or fortuitous event must be contrasted with each contract, verifying what is related to the object, conditions and agreed deadlines.

Así, por ejemplo,  valdría examinar aquellas obligaciones de tracto único y las de tracto sucesivo.  Las primeras constan en un solo acto, por ejemplo la compra venta. Yo te vendo un lápiz y tú me pagas el lápiz. Algunas preguntas surgen respecto de este tipo de obligaciones, a propósito de la alegación de fuerza mayor como eximente de responsabilidad:

1. Si la obligación se dispuso cumplirla el día tal, ya estando afectados por el acto de fuerza mayor provocado por el COVID, ¿en cuánto afectó el estado de fuerza mayor, el cumplimiento de la obligación para el día designado?
2. Si era relevante cumplir con la obligación para el día designado.
3. ¿O valdría haberla cumplido posteriormente?

Por otro lado, que pasa en las obligaciones de tracto sucesivo, que son aquellas que exigen una actitud continuada del deudor, como por ejemplo en los contratos de préstamo pagaderos a plazo.    En dichos contratos el deudor asume la responsabilidad de  pagar una obligación en un plazo acordado, haciendo abonos mensuales según lo convenido.  A propósito de la incidencia de la fuerza mayor en este tipo de obligaciones, vale considerar:

1. ¿El evento de fuerza mayor afectó el cumplimento de la totalidad de la obligación o simplemente produjo el retraso en los abonos a la obligación según fueron pactados en él contrato?
2. Ese mismo evento de fuerza mayor que otorga al deudor la posibilidad de haberse retrasado, es el mismo que sirve para no hacer exigible la obligación anticipadamente, por la falta de abono oportuno.
3. Una vez levantado el estado de fuerza mayor, los efectos y ejecución de la obligación, en los términos que fue convenida quedan activados. Vuelve el deudor a responder con su patrimonio presente y futuro como lo prevé el artículo 1653 del Código Civil.

¿Qué pasa en el caso de que esta pausa económica, provocada por la “fuerza mayor”, haya producido la ruina de la empresa, tanto que no puedan hacerle frente a sus obligaciones?  ¿Valdrá, la excepción de fuerza mayor para eximirse del pago de sus obligaciones convenidas a plazo y con término definido para su pago total?

La condición ruinosa de la empresa debe probarse, no es simplemente decir que la empresa fue afectada por la fuerza mayor, y que el cierre ha provocado el que no pueda pagar o cumplir sus obligaciones.  El examen, caso por caso, será revisar los haberes del deudor, para luego determinar si puede o no responder con sus bienes presentes y futuros, según lo previsto en el artículo 1653 del Código Civil, respecto al pago de sus obligaciones.

Respecto al equilibrio contractual, y su afectación por el estado de fuerza mayor, sugiere avocarnos a la teoría de la imprevisión, o lo atinente al principio “Rebus sic stantibus”, en cuanto a la posibilidad de modificar algunas cláusulas con el fin de volver al balance prestacional perdido, matizando así, de alguna forma, el principio de Pacta sunt servanda (lo pactado obliga).

It is highly suggestive that debtor and creditor, in the context of their specific contracts, tend to reach understandings seeking the contractual balance that has been lost due to the “force majeure” caused by COVID, emphasizing the principle of contractual good faith that must govern all types of contracts or obligations. Otherwise, the saturation of lawsuits in the Courts will disrupt the judicial system that, before COVID, was already in disarray.
