The new Panama economic substance law (Law 526, enacted on 28 May 2026) takes effect for fiscal year 2027. It closes a compliance gap that jurisdictions such as the BVI, the Cayman Islands, and Singapore addressed years earlier, and responds directly to the OECD’s BEPS Action 5 initiative against harmful tax practices. Law 526 follows a decade of Panamanian reforms, including mandatory accounting records, automatic exchange of financial information, and beneficial ownership registration, that brought the country in line with FATF and OECD transparency standards.
Who Does It Affect?
The law is not a blanket requirement. It applies specifically to Panamanian entities that form part of a multinational group and receive passive foreign-source income, such as dividends, interest, royalties, capital gains, or real estate income. Private interest foundations and family holding structures without cross-border ownership links generally remain outside its scope.
Entities within scope must demonstrate genuine economic substance in Panama, including qualified staff, adequate premises, and strategic decision-making conducted locally. Those that cannot will be classified as non-qualifying entities and face a flat 15% tax on their passive foreign income, along with potential penalties and interest under the Fiscal Code.
What’s Still Unclear
Several questions remain open until Panama’s implementing regulations are published, expected within 90 days of enactment. These include how tax residency will be defined, what standard will apply to pure equity holding companies, and how outsourcing arrangements to local service providers will be treated.
For international families, family offices, and multinational groups with Panamanian entities, understanding this Panama economic substance law is now essential to fiscal year 2027 planning.
